General Terms and Conditions of the JLN Foundation (Jong Logistiek Nederland).

These are conditions for participants/donors in the activities of the Jong Logistiek Nederland Foundation, registered and filed at the Chamber of Commerce and Factories for Haaglanden in Zoetermeer under no. 50303783.

Article 1 General/definitions:

  • the Foundation: the legal entity JLN Foundation, established in Zoetermeer.
  • Members: natural persons who have indicated their desire to participate in the network of the Foundation and in the activities organized by it.
  • Membership requirements: membership is open to persons studying at college or university and working logisticians who wish to avail themselves of the Foundation’s services by enrolling in a register maintained for that purpose by the Foundation
  • Foundation year: the foundation year runs concurrently with the calendar year.
  • Products and services: products and services offered without obligation free of charge or at the prices and conditions stated by the Foundation.

Article 2 Financial contribution

2.1 Enrollment as a member of JLN shall be in accordance with the Bylaws or By-Laws and shall be at an annual dues rate as determined by the General Board when considering the membership budget.

2.2 Members are due the dues on the first day of the founding year, respectively. on the day of registration as a member.

2.3 When joining in the course of the foundation year, the contribution for that year shall always be due in proportion to the number of full calendar months remaining. The contribution due for the last two calendar months may be added to the annual contribution for the following foundation year.

Article 3 Adjustment of financial contribution

3.1 The General Board of the Foundation is authorized to adjust the financial contribution annually based on the CBS Consumer Price Index of the CBS, all households series + a maximum of 2%.

3.2 If the financial situation of the Foundation so warrants, the General Board shall be entitled to adjust the contribution by a higher percentage or amount than indicated in clause 3.1. The cancellation period in article 4.1 will then be extended to one month after the invoice date, under the same conditions.

Article 4 Termination

4.1 Termination of membership may only be made before or no later than November 1 of the foundation year, provided it is in writing. If cancellation has not taken place in time, the membership shall continue until the end of the next foundation year.

4.2 Membership in the Foundation shall terminate, upon termination in accordance with paragraph 1 of this article, as well as in the event that the member no longer meets the requirements for membership in accordance with article 1 and in the event of death. 4.3 In case of premature termination of membership there will be no refund of the annual contribution.

4.3 A member who or has cancelled shall remain liable to meet the financial obligations arising from their membership.

4.4 The Foundation may terminate membership with immediate effect if, despite repeated reminders, the member or enrollee fails to pay the dues or other obligations arising from membership.

Article 5 Payment terms

5.1 The financial contribution, products or services charged to the member by the Foundation shall, unless otherwise agreed in writing, be paid without deduction or discount within 30 days of the date of the invoice.

5.2 The period of 30 days is a deadline. Therefore, in case of late payment, the member is in default even without notice of default.

5.3 The member shall be liable for an administration fee for each subsequent month that he persists in doing so, with a minimum of €5.

5.4 If the term of payment is exceeded, the Foundation is entitled to suspend the sending of newsletters, delivery of products and services under the membership with the Foundation. After full payment of the invoice, plus administration costs, the member will be placed on the mailing list again from then on and will be eligible again to participate in the activities organized by or partly on behalf of the Foundation.

5.5 Payments made by the member shall always be applied firstly to all costs due and secondly to due and payable invoices that have been outstanding the longest, even if the member/subscriber or customer states that the payment relates to a later invoice.

Article 6 Collection

6.1 The Foundation is entitled to charge the member/subscriber or customer for all necessary extrajudicial and judicial costs incurred for collection. The extrajudicial costs, with a minimum of 15% of the principal sum, are first due from the moment the member is in default and the claim has been handed over.

6.2 For the scope of the extrajudicial costs, the invoice of the relevant lawyer, bailiff or collection agency shall serve as evidence.

Article 7 Complaints

7.1 Complaints about services provided or products delivered by the Foundation should be submitted in writing to the President of the JLN Foundation.

7.2 Submitted complaints do not suspend the payment obligation.

Article 8 Liability

8.1 The Foundation shall only be liable if damage was caused by its intentional or grossly negligent conduct or that of its managerial subordinates.

8.2 Liability is further limited to the payment made by its insurer in the case in question.

8.3 If the insurer does not provide coverage or pay out in any case, liability is limited to no more than the financial contribution or the amount invoiced for the product or service in question.

Article 9 Expiration/Lapse

All legal claims against the Foundation, including claims for damages, shall be time-barred or expired after one year after the relevant claim/claim arose.

Article 10 Disputes and applicable law

10.1 Membership in the Foundation is governed by Dutch law.

10.2 Any disputes will be submitted to the competent court in The Hague.
